1. ACCOUNT REGISTRATION AND VERIFICATION

To use certain features of the Service, you must create an account by providing your mobile phone number. We use Firebase Authentication to verify your phone number via SMS. By providing your phone number, you consent to receive SMS verification messages. Standard messaging rates may apply, but Toodi assumes the cost of verification SMS.

You are responsible for:

• Maintaining the security of your account and device
• All activity that occurs under your account
• Ensuring that the phone number associated with your account is current and accurate

You must be at least 18 years of age (or the equivalent minimum age in your jurisdiction) to use the Service. By using the Service, you represent and warrant that you meet this requirement.

2. THE SERVICE

Toodi is a task management application that allows you to:

• Create and manage tasks (toodis) of various types: tasks, lists, events, reminders, notes, and polls
• Use AI-powered text classification to automatically organize your tasks
• Share tasks with other Toodi users
• Create and manage Circles (groups) for collaborative task management
• Create polls and collect votes from shared recipients
• Attach images to tasks
• Schedule tasks with dates, times, and recurrence patterns
• Use voice input to create tasks via dictation

The Service is available in 12 languages: Spanish, English, German, Chinese, French, Arabic, Czech, Hebrew, Hindi, Italian, Portuguese, and Vietnamese.

3. AI-GENERATED CONTENT

Toodi uses artificial intelligence (provided by DeepSeek) to automatically classify your tasks, generate concise titles, extract dates and times, and provide descriptions based on your input text.

Important disclaimers about AI-generated content:

• AI classifications and generated text are suggestions only. You can always edit or override any AI-generated content.
• AI may occasionally produce inaccurate classifications or interpretations. You should review AI-generated content before relying on it.
• We do not guarantee the accuracy, completeness, or reliability of AI-generated content.
• Only your task text and locale are sent to the AI provider. No personal identifiers are included. See our Privacy Policy for details.

By using the AI classification feature, you acknowledge and accept these limitations.

4. USER-GENERATED CONTENT

You retain ownership of all content you create through the Service, including task text, descriptions, images, and list items ("User Content").

By using the Service, you grant us a limited, non-exclusive, worldwide, royalty-free license to store, process, and transmit your User Content solely for the purpose of providing and improving the Service. This includes:

• Storing your tasks and images in Firebase Cloud Firestore and Firebase Storage
• Transmitting your task text to DeepSeek for AI classification
• Delivering shared task content to your designated recipients

We will not use your User Content for advertising, sell it to third parties, or use it for any purpose other than providing the Service.

5. SHARING AND SOCIAL FEATURES

Toodi allows you to share tasks with other users and collaborate through Circles. When you share content:

• Your display name and avatar will be visible to recipients of your shared tasks and to members of your Circles.
• Shared task content (title, description, dates, images, list items) will be accessible to the recipient(s) you designate.
• You are solely responsible for the content you share. Do not share personal, sensitive, or confidential information through shared tasks unless you trust the recipients.
• Recipients of shared tasks may complete, edit (if permitted), or acknowledge the tasks you send them.
• For events with RSVP, recipients can accept, decline, or mark themselves as tentative.
• For polls, both senders and recipients can vote. Only the sender (poll creator) can close a poll.

Circle administrators can manage membership and remove members. Members can leave a Circle at any time.

6. SUBSCRIPTIONS AND PAYMENTS

The Service offers a free tier and paid subscription plans ("Toodi Pro" and "Toodi Family").

Free tier

The free tier includes unlimited tasks, voice input, AI classification, 1 Circle, task sharing, and all 12 languages.

Paid subscriptions

Paid subscriptions provide additional features including unlimited Circles, event RSVP, shared lists, recurring tasks, statistics, custom themes, and more. Subscription purchases are processed through the Apple App Store or Google Play Store.

Billing and renewal:Subscriptions automatically renew at the end of each billing period unless you cancel at least 24 hours before the renewal date. You can manage and cancel your subscription through your device's app store settings.

Refunds: Refund policies are governed by Apple or Google, depending on your platform. We do not process refunds directly. Please contact the relevant app store for refund requests.

Price changes: We may change subscription prices from time to time. Price changes will not affect active subscriptions until the next renewal period. We will notify you of any price changes in advance.

Referral program

Toodi may offer a referral program that allows you to invite other users and receive a limited-time trial of Toodi Pro features. Referral codes are unique, single-use per recipient, and subject to a maximum number of redemptions per user. Toodi reserves the right to modify, suspend, or discontinue the referral program at any time without notice. Abuse of the referral system (including creating multiple accounts) may result in termination of your account.

7. ACCEPTABLE USE

You agree not to use the Service to:

• Send spam, unsolicited messages, or bulk invitations through task sharing or Circles
• Share content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
• Impersonate any person or entity
• Attempt to gain unauthorized access to the Service, other user accounts, or our systems
• Use the Service for any commercial purpose not expressly permitted
• Interfere with or disrupt the Service or servers or networks connected to the Service
• Reverse engineer, decompile, or disassemble any part of the Service
• Upload viruses, malware, or other malicious code through images or other inputs

We reserve the right to suspend or terminate your account if we determine, at our sole discretion, that you have violated these Terms.

8. INTELLECTUAL PROPERTY

The Service, including its design, code, features, logos, and documentation, is owned by toodi.app and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service for personal, non-commercial use in accordance with these Terms.

"Toodi" and the Toodi logo are trademarks of toodi.app. You may not use our trademarks without our prior written consent.

9. LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, toodi.app shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

• Your use of or inability to use the Service
• Inaccurate AI classifications or generated content
• Unauthorized access to or alteration of your data
• Any third-party conduct on the Service
• Any other matter relating to the Service

In no event shall our aggregate liability exceed the amount you paid us, if any, in the twelve (12) months preceding the claim.

10. DISCLAIMER OF WARRANTIES

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that: (a) the Service will be uninterrupted, secure, or error-free; (b) the results obtained from the Service (including AI classifications) will be accurate or reliable; (c) any defects will be corrected; or (d) the Service will meet your specific requirements.

11. TERMINATION

You may stop using the Service at any time. You may request account deletion by contacting us at admin@toodi.app.

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Reasons for termination include, but are not limited to, violation of these Terms or conduct that we determine to be harmful to other users or the Service.

Data deletion upon termination: Upon account deletion, we will delete your personal data (including tasks, images, Circle memberships, and authentication records) from our active systems within 30 days. Some data may persist in encrypted backup archives for a limited period before permanent deletion, in accordance with our Privacy Policy.

Sections 3 (AI disclaimers), 4 (User Content ownership), 8 (Intellectual Property), 9 (Limitation of Liability), 10 (Disclaimer), and 12 (Governing Law) survive termination.

12. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of Spain and the European Union, without regard to conflict of law principles.

For users located in the European Economic Area (EEA), nothing in these Terms affects your rights under the General Data Protection Regulation (GDPR) or other applicable consumer protection laws.

Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Madrid, Spain, unless mandatory consumer protection laws in your jurisdiction require otherwise.

13. CHANGES TO THESE TERMS

We reserve the right to modify these Terms at any time. The updated version will be indicated by an updated "Last updated" date. If we make material changes, we will notify you through the app or by other appropriate means.

Your continued use of the Service after any changes constitutes your acceptance of the new Terms. If you do not agree to the updated Terms, you must stop using the Service.
